The specific scope of services will be outlined in a separate agreement between Hype Local Marketing and each client.

3. Payment and Billing

3.1 Payment Terms

- Payments for services are due as specified in your service agreement.
- Late payments may result in service suspension or termination.
- All payments must be made via approved payment methods outlined in your
invoice.

3.2 Refunds & Cancellations

- No refunds will be issued for completed services.
- Subscription-based services may be canceled with [30] days' written notice before the next billing cycle.

4. Client Responsibilities

To ensure effective service delivery, clients must:
- Provide accurate and complete information for campaign setup and management.
- Respond promptly to requests for approvals or additional information.
- Adhere to all applicable laws and regulations in their business practices.
Failure to comply may result in delays, inefficiencies, or termination of services.

5. Intellectual Property Rights

- All marketing materials, strategies, and content created by Hype Local Marketing remain the property of the Company unless otherwise agreed upon in writing.
- Clients are granted a non-exclusive, non-transferable license to use the
content provided as part of their service package.
- Unauthorized reproduction, distribution, or modification of our proprietary
materials is strictly prohibited.

6. Confidentiality & Data Protection

- We respect client confidentiality and will not disclose any proprietary or sensitive business information to third parties.
- Hype Local Marketing complies with applicable data protection laws and
ensures the security of all client data collected.

7. Limitation of Liability

Hype Local Marketing will not be liable for:
- Any loss of revenue, profits, or business opportunities resulting from
marketing campaigns.
- External algorithm changes, ad performance fluctuations, or platform outages
that affect service results.
- Client non-compliance with recommendations leading to suboptimal performance.

Our maximum liability under any circumstances shall not exceed the total amount paid by the client for the services rendered.

8. Termination of Services

We reserve the right to terminate services immediately if a client:

- Fails to make required payments.
- Engages in fraudulent, illegal, or unethical business practices.
- Violates any terms outlined in this agreement.

Upon termination, all outstanding balances become immediately due and payable.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved through negotiation, mediation,
or arbitration before legal action is pursued.

10. Changes to Terms & Conditions

Hype Local Marketing reserves the right to update these Terms at any time. Clients will be notified of material changes, and continued
use of services constitutes acceptance of the updated Terms.
